Loyalty Program Terms and Conditions

1. Introduction and acceptance
1.1 These Loyalty Program Terms and Conditions (the
“Program Terms”
) govern the SwapSpace Invaders Club loyalty program (the
“Program”
) operated by SwapSpace (
“SwapSpace”, “we”, “us”
or
“our”
).
1.2 These Program Terms are supplemental to, and form part of, the SwapSpace Terms of Use available at

(the
“Terms of Use”
) and the SwapSpace Privacy Policy available at
https://swapspace.co/privacy-policy
(the
“Privacy Policy”
). Capitalised terms not defined here have the meaning given in the Terms of Use. In the event of any conflict between these Program Terms and the Terms of Use, the Terms of Use prevail, except in respect of matters specifically addressed in these Program Terms.
1.3 By enrolling in, participating in, or receiving any benefit under the Program, you agree to be bound by these Program Terms. If you do not agree, do not participate in the Program.
1.4 SwapSpace operates as a non-custodial cryptocurrency exchange aggregator. SwapSpace does not itself execute exchanges, does not set the service fees charged by third-party exchange providers, and — except as expressly set out in Section 6 in respect of the payment of accrued Cashback — does not take custody of your crypto-assets.
2. Definitions
“Account”
means your SwapSpace user account, created and identified by an email address and/or a wallet address.
“Cashback”
means the loyalty rebate described in Section 5, expressed as a percentage of the Partner Service Fee attributable to your Qualifying Exchanges and credited to your Cashback Balance.
“Cashback Balance”
means the amount of accrued but unpaid Cashback recorded to your Account, denominated in USDT.
“Diamonds”
means the non-monetary, non-transferable loyalty units used solely to measure your activity and determine your Level. Diamonds are not a crypto-asset, token, e-money, security, or currency, have no cash value, and cannot be bought, sold, transferred, redeemed, or exchanged.
“Invader”
means the loyalty membership status associated with your Account upon enrolment, through which you participate in the Program.
“Level”
means your tier under the Program (Level 1 to Level 6), which determines your Cashback rate, as set out in Section 4.3.
“Partner”
or
“Provider”
means a third-party exchange service provider integrated with the SwapSpace aggregator.
“Partner Service Fee”
means the service fee charged by a Partner in respect of an exchange, as set by that Partner and not by SwapSpace.
“Qualifying Exchange”
means a completed exchange transaction executed through the SwapSpace platform in respect of which (a) a Partner Service Fee is charged, and (b) SwapSpace actually receives the corresponding referral/affiliate remuneration from the relevant Partner.
3. Eligibility and enrolment
3.1 To participate in the Program you must, at all times:
be at least 18 years old (or the age of majority in your jurisdiction, if higher);
hold a valid Account;
not be resident in, or located in, any Restricted Jurisdiction as defined in the Terms of Use;
not be a person subject to sanctions administered by the UN, the EU, the United Kingdom (OFSI), or the United States (OFAC), and not otherwise be a Prohibited Person under the Terms of Use;
comply with the Terms of Use.
3.2 You obtain an Invader automatically and free of charge upon registering an Account with an email address or a wallet address. Enrolment in the Program is automatic; no purchase is necessary and no purchase increases your chances of any benefit.
3.3 One Invader is available per Account. Operating or controlling multiple Accounts in order to obtain additional or enhanced benefits is prohibited (see Section 9).
3.4 The Invader and your participation in the Program are personal to you, are tied to your Account, and are non-transferable. The Invader does not constitute a crypto-asset, token, security, non-fungible token, or other tradeable or financial instrument, and confers no ownership, equity, governance, dividend, or economic rights in SwapSpace other than the loyalty benefits expressly described in these Program Terms.
4. Diamonds and Levels
4.1 Earning Diamonds.
You earn one (1) Diamond for each one US dollar (USD 1.00) of exchange value in a Qualifying Exchange, based on SwapSpace’s determination of the USD-equivalent value of the exchange at the time it completes. You earn Diamonds at a doubled rate (two (2) Diamonds per USD 1.00) for Qualifying Exchanges made through the SwapSpace mobile application while the same email address or wallet address is linked to your Invader.
4.2 Nature of Diamonds.
Diamonds are a loyalty-measurement unit only. They have no monetary value, are not redeemable for cash or crypto-assets, and cannot be transferred, sold, gifted, or combined between Accounts. Diamonds do not represent a debt, deposit, or claim against SwapSpace.
4.3 Levels and rates.
The Program comprises six Levels. Each Level corresponds to a Diamond threshold and a Cashback rate as set out below:

4.4 Level determination and recalculation.
Your Level is recalculated at the end of each 30-day cycle. At each recalculation, your available Diamonds are applied to set your Level to the highest Level whose Diamond requirement your then-available Diamonds satisfy, and the number of Diamonds required for that Level is deducted from your Diamond balance. Because Diamonds are consumed each cycle to attain or maintain a Level, you must continue to earn Diamonds in order to keep or increase your Level. If, at a recalculation, your available Diamonds are insufficient for your current Level, your Level will be set to the highest Level that your available Diamonds support, which may be more than one Level lower. Level 1 requires no Diamonds and is the minimum Level.
4.5 Carry-over.
Diamonds do not expire by lapse of time. Diamonds that are not consumed at a recalculation remain in your Diamond balance and are carried forward to subsequent cycles. Diamonds have no cash value and are consumed only as described in Section 4.4.
5. Cashback
5.1 Nature of Cashback.
Cashback is a loyalty rebate equal to a percentage (determined by your Level) of the Partner Service Fee attributable to your Qualifying Exchanges. Cashback is a partial return of a fee charged by a third-party Partner. It is not interest, yield, a dividend, a reward for staking, lending, or deposit, or a return on any investment, and it is not payment for any service provided by you to SwapSpace.
5.2 Accrual.
Cashback accrues only in respect of Qualifying Exchanges and only to the extent that SwapSpace actually receives the corresponding remuneration from the relevant Partner. If a Partner reverses, withholds, disputes, or fails to pay such remuneration, or if the underlying exchange is reversed, refunded, charged back, or found to be fraudulent, the corresponding Cashback will not accrue or may be reversed from your Cashback Balance.
5.3 Cashback Balance.
Accrued Cashback is recorded to your Cashback Balance and denominated in USDT. The Cashback Balance represents a contractual entitlement to request payout in accordance with Section 6, subject to these Program Terms; it does not represent custodied client funds, a deposit, or electronic money, and no interest accrues on it.
5.4 Up to 50%.
Cashback rates described as “up to 50%” refer to the maximum rate available at the highest Level. The Cashback you actually receive depends on your Level, the applicable Partner Service Fees (which vary by Partner and by transaction and are set by Partners), and your exchange activity. SwapSpace does not guarantee any minimum amount of Cashback.
5.5 Expiry of Cashback.
Each amount of Cashback credited to your Cashback Balance remains available for payout for twelve (12) months from the date on which it is credited. Any Cashback that has not been paid out (or validly requested for payout) within that period expires automatically and is permanently removed from your Cashback Balance, without compensation. Expired Cashback cannot be reinstated. Expiry of Cashback does not affect your Diamonds or your Level.
6. Cashback withdrawal (payout)
6.1 You may view your Cashback Balance and request a payout from the “Profile” section of your Account.
6.2 A payout may be requested once your Cashback Balance reaches the minimum threshold of 10 USDT.
6.3 Payouts are made in USDT to the payout address you designate, via the Tron (TRC-20) or BNB Smart Chain (BEP-20) network. You are solely responsible for providing a correct and network-compatible payout address. Transactions on public blockchains are irreversible; SwapSpace is not responsible for Cashback sent to an incorrect, incompatible, or compromised address provided by you.
6.4 SwapSpace does not charge any service or processing fee for Cashback payouts. However, each payout is subject to the applicable blockchain network fee (gas fee) for the selected network (Tron (TRC-20) or BNB Smart Chain (BEP-20)). The network fee is deducted from the payout amount, so the amount you actually receive will be reduced by the network fee applicable at the time the payout is processed. Network fees are set by the relevant blockchain network and not by SwapSpace, and may vary.
6.5 Payouts are ordinarily sent within three (3) days of a valid request, subject to Section 6.6 and to blockchain network conditions. This is a target processing time and not a guaranteed settlement time.
6.6 Payouts are subject to compliance verification. SwapSpace may delay, withhold, or decline a payout, and may request additional information (including identity verification and source-of-funds information), where it considers this necessary or appropriate for anti-money-laundering, counter-terrorist-financing, sanctions, fraud-prevention, legal, or regulatory reasons, or where abuse is suspected.
7. Taxes
7.1 You are solely responsible for determining, reporting, and paying any taxes arising in connection with Cashback or payouts under the Program. SwapSpace does not provide tax advice, and any amounts referred to are stated exclusive of any taxes for which you are responsible.
8. Changes to the Program; term and termination
8.1 The Program is offered on an ongoing basis but is not permanent. SwapSpace may, at any time and in its sole discretion, modify the Program — including the Levels, Diamond thresholds, earning rates, Cashback rates, minimum payout threshold, supported networks, and any other terms — and may suspend or discontinue the Program, in whole or in part.
8.2 Where a change is material, SwapSpace will provide notice by reasonable means (for example, by in-Account notice or on the Program page) and, where required by applicable law, in advance of the change taking effect. Your continued participation after a change takes effect constitutes acceptance of the amended Program Terms.
8.3 “Lifetime” references.
Any reference to “lifetime” Cashback or rewards describes the intended nature of the benefit for so long as the Program remains in effect and you remain eligible. It does not override SwapSpace’s rights under Sections 8.1, 9, and 10, and does not constitute a guarantee that the Program, any Level, any rate, or any benefit will continue indefinitely. Any Cashback remains subject to the expiry provisions of Section 5.5
8.4 On discontinuation of the Program, SwapSpace will use reasonable efforts to allow you to request payout of any eligible Cashback Balance at or above the minimum threshold accrued up to the effective date of discontinuation, subject to these Program Terms and applicable compliance checks. Diamonds have no cash value and will not be compensated on discontinuation.
8.5 You may leave the Program at any time by closing your Account in accordance with the Terms of Use.
9. Prohibited conduct and abuse
9.1 You must not, and must not attempt to:
operate multiple Accounts, or collude with other users, in order to accumulate Diamonds or Cashback;
engage in wash trading, self-dealing, or circular or artificial transactions that have no genuine economic purpose and are designed to generate Diamonds or Cashback;
exploit any error, bug, or loophole in the Program;
use bots, scripts, or other automated means to obtain benefits under the Program; or
otherwise abuse the Program or act in bad faith.
9.2 If SwapSpace determines, in its reasonable discretion, that you have engaged in any conduct described in Section 9.1 or have otherwise breached these Program Terms or the Terms of Use, SwapSpace may (without limiting its other rights and remedies) reduce or cancel your Diamonds, void accrued Cashback, adjust your Level, suspend or terminate your participation in the Program, withhold or reverse payouts, and/or take action under the Terms of Use, including closing your Account.
10. Disclaimers and nature of the Program
10.1 The Program is a promotional loyalty program. Nothing in the Program constitutes, and the Program must not be construed as: the offer or sale of a security, financial instrument, or investment; the issuance of a crypto-asset, token, electronic money, or currency; the taking of deposits; the provision of investment, payment, or custody services; or a collective investment, yield, or interest-bearing product.
10.2 The Program, Diamonds, and Cashback are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, SwapSpace disclaims all warranties, express or implied, in connection with the Program.
10.3 SwapSpace does not control, and is not responsible for, Partner Service Fees, Partner remuneration, or the acts or omissions of Partners.
11. Limitation of liability
11.1 To the maximum extent permitted by applicable law, SwapSpace’s aggregate liability arising out of or in connection with the Program is limited to the total amount of Cashback validly paid or payable to you under these Program Terms in the three (3) months preceding the event giving rise to the claim. SwapSpace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, arising out of or in connection with the Program. Nothing in these Program Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
12. Data protection
12.1 SwapSpace processes personal data in connection with the Program in accordance with the Privacy Policy available at

13. General
13.1 Assignment.
You may not assign or transfer your rights or obligations under these Program Terms. SwapSpace may assign or transfer these Program Terms in connection with a reorganisation, merger, acquisition, or sale of assets.
13.2 Severability.
If any provision of these Program Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
13.3 No waiver.
SwapSpace’s failure to enforce any provision is not a waiver of that or any other provision.
13.4 Entire agreement.
These Program Terms, together with the Terms of Use and the Privacy Policy, constitute the entire agreement between you and SwapSpace in respect of the Program.
13.5 Governing law and disputes.
These Program Terms are governed by the law, and are subject to the dispute-resolution provisions, set out in the Terms of Use available at
